Regarding responses to questions about the sale of our company's shares that Asia Investment Fund and others have announced, Asia Investment Fund and others state that, in Section 1 of this notice, regarding the sale of our company's shares by way of a sale in a related-party transaction (hereinafter referred to as “this related-party transaction”) that they are considering, they intend to disclose the specific details of this related-party transaction to our company and to our Independent Committee, from the perspective of compliance with the pledge (hereinafter referred to as “this pledge”) they submitted to our company on November 17, 2021. However, as we conveyed in the January 17, 2022 “Questions and Notice regarding the document titled ‘Management Plan of Tokyo Kikai Seisakusho’” (hereinafter referred to as “this Q&A”), and as announced in our January 17 press release “Regarding the document titled ‘Management Plan of Tokyo Kikai Seisakusho’ disclosed by Asia Investment Fund and others” (hereinafter referred to as “January 17 press release”), our company believes that, in addition to the compliance with this pledge, it is necessary to verify the details of this related-party transaction from the standpoint of compliance with laws and regulations such as insider trading regulations, the sale restrictions, and the takeover bid regulations to protect the interests of our shareholders and investors.
