(Headquarters: Obu City, Aichi Prefecture; President: Tomonori Nomura; hereafter, Aisan Industry) have resolved at the Board of Directors meeting held on January 17, 2022 to transfer the entire series of business of the Fuel Pump Module from DENSO to Aisan Industry in order to strengthen competitiveness of the powertrain business, and have concluded a business transfer agreement. 1. Reason for the business transfer Since May 20, 2019, the basic agreement, both companies have been considering strengthening competitiveness in overlapping areas of the powertrain domain through “partial transfer of the powertrain business from DENSO to Aisan Industry” and the strengthening of mutual collaboration in future growth areas through “increase in DENSO’s equity stake in Aisan Industry.” After extensive discussions between the two companies, it has been decided to transfer the Fuel Pump Module business from DENSO to Aisan Industry. It should be noted that the plan to increase DENSO’s equity stake in Aisan Industry has been postponed.
